This agreement applies whenever you upload or submit a logo, image, design, or other file (“Artwork”) for us to reproduce on products using embroidery, DTF (direct-to-film transfer), or DTG (direct-to-garment) printing. In it, “you” means the customer placing the order, and “we”/“us” means Hype Heaven Studios Inc., operating as HHS Prints.
1. Your ownership and right to use the Artwork
You represent and warrant that you own the Artwork, or that you have the full legal right, license, and authority to use and reproduce it — including any logos, trademarks, brand names, copyrighted images, artwork, text, or likenesses it contains. You confirm that reproducing the Artwork on your order does not infringe the rights of any other person or company.
2. Permission you grant us
You authorize us to reproduce, print, embroider, and produce the Artwork on the products you order. You also permit us to resize, reposition, recolour, digitize, and make reasonable adjustments to the Artwork as needed to prepare it for production in your chosen decoration method, and to retain a copy of the Artwork and production files for your records, reorders, and proofs. We will not use your Artwork to decorate products for anyone else.
3. Your responsibility
You are solely responsible for the content of the Artwork you upload and for ensuring you have the rights to use it. We are not required to verify, and do not verify, whether you own or are licensed to use any Artwork you submit. We rely entirely on your certification in this agreement.
4. Indemnification and no liability
To the fullest extent permitted by law, you agree to indemnify, defend, and hold us harmless from and against any claims, demands, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or related to the Artwork you upload — including any claim that it infringes a copyright, trademark, or other right, or was used without authorization. We accept no liability for any Artwork you provide or for producing your order based on it.
5. Our right to decline
We may decline or cancel any order where we reasonably believe the Artwork is unlawful, infringing, offensive, or that you do not have the right to use it. This is a right, not an obligation, and does not make us responsible for reviewing your Artwork.
6. Placement
Unless you tell us otherwise, we position your Artwork using standard industry placement conventions for your chosen decoration method (for example: left chest logos centered high on the chest; center chest and full-front designs centered and sized to the garment). The design studio shows you an on-screen preview of the placement before you order — this is your opportunity to review it and, if you want something different, tell us in the placement notes field or by adjusting the artwork yourself in the studio. We are not liable for placement produced according to standard convention or your own on-screen adjustments that you did not flag as incorrect before submitting your order.
7. Customer-supplied digitized embroidery files (.dst)
If you upload your own digitized embroidery file (for example, a .dst file for our Tajima machines) instead of having us digitize your artwork, the following applies in addition to the rest of this Agreement:
- You certify the file is your own, production-ready, and matches the design shown in the studio. We do not open, inspect, or verify digitized files before production.
- We are not liable for stitch-out quality, sizing, or placement problems caused by a file we didn’t create. The digitizing guarantee that applies to files we digitize ourselves does not extend to a file you supply — we did not build it and cannot vouch for its stitch density, underlay, trim/color-change settings, or general digitizing quality.
- The on-screen design in the studio is a placement and sizing reference only. Production follows your uploaded file’s actual stitch content, not the preview. You’re responsible for making sure the two match.
- If your file turns out to be unusable — wrong format, won’t run on our equipment, corrupted, or doesn’t match the on-screen design — we may pause your order and ask you to resupply it, or digitize the design ourselves instead. If we end up digitizing it, the normal digitizing fee applies at that point, even though it didn’t apply when you placed the order.
- Checking “same design, front & back” is your certification that both sides are genuinely the same design, the same way you certify artwork ownership above — we don’t verify it. If the two sides turn out not to match, that’s on you, not us.
8. Acceptance
By checking the acceptance box and submitting your order, you confirm you have read, understood, and agree to this Agreement.
9. Governing law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there.
